Open Clipper Terms of Service

These Terms apply to the Open Clipper desktop application and its optional GrepCut cloud features.

1. Acceptance of Terms

By downloading, installing, or using Open Clipper (“Service”), you agree to these Terms. If you do not agree, do not use the Service.

Open Clipper is a free, open-source (MIT) desktop application. Core editing, transcription, reframing, and export features work locally without an account. Optional sign-in is required only for connected features such as social publishing.

You must be old enough to use online services under applicable law.

2. The Service

Open Clipper is a Windows desktop application for turning long-form videos into short, platform-ready clips. It supports local and optional cloud-assisted transcription, GPU reframing, styled captions, batch export, and optional publishing to social platforms.

To use the Service, you need a compatible Windows device with sufficient storage and, for some features, a GPU and internet access. Optional cloud features depend on third-party providers and may change, be limited, or become unavailable over time.

The software is provided under the MIT license for its open-source components. These Terms govern your use of GrepCut-operated cloud services connected to Open Clipper.

3. Your Account

Signing in is optional. If you choose to sign in via Google OAuth, you are responsible for all activity under your account and must notify us immediately of unauthorized access. We may disable accounts that violate these Terms.

Your account may be linked to a broader GrepCut identity. Deleting your account affects cloud data associated with that identity, as described in our Privacy Policy.

4. Subscriptions and Billing

  • Open Clipper does not offer in-app subscription checkout.
  • If your GrepCut account is linked to a Paddle subscription from another GrepCut product, account deletion may attempt to cancel that subscription.
  • For billing issues related to Paddle, contact Paddle at paddle.com.

5. User Content and Ownership

  • You retain all rights to your videos, transcripts, captions, and exports. We do not claim ownership and do not use your content for marketing or AI training.
  • By default, your projects and media remain on your device under your control.
  • When you publish to a social platform, you grant us a limited license to transmit the selected export and metadata to that platform solely to complete the publish request.
  • You warrant that you have the rights to all content you import, edit, export, or publish.
  • GrepCut retains all rights to the Open Clipper application, branding, and cloud infrastructure.

6. Acceptable Use

You must not use the Service to create or distribute illegal content (including CSAM, terrorism, or harassment), create deepfakes without consent, infringe intellectual property, distribute malware, abuse connected platform APIs, or circumvent technical limits of social networks.

When publishing through Open Clipper, you must also comply with the terms and community standards of each destination platform, including Meta, YouTube, TikTok, and X.

Violations may result in suspension, termination, or reporting to law enforcement. Report abuse to [email protected].

7. Transcription, AI, and Third-Party Keys

Transcription, reframing, and related features are provided “as is”. Outputs may contain errors, omissions, or bias, and may not be suitable for every use case. You are responsible for reviewing all generated captions, clips, and exports before publishing or relying on them.

If you use local models, processing happens on your device. If you configure cloud transcription with your own API keys (Groq, OpenRouter), you are responsible for those keys, the data you send to those providers, and any charges incurred with them.

8. Social Publishing

Publishing requires a connected account for the selected platform. We do not guarantee that any platform will accept, rank, monetize, or keep your published content online.

Platform APIs, upload limits, review processes, and availability may change without notice. You are responsible for ensuring your content complies with each platform's policies.

9. Termination

  • You may delete your cloud account at any time from Settings → Delete account in Open Clipper, or by contacting [email protected]. Cloud account data will be deleted within 30 days, except legally required records.
  • Deleting your cloud account does not automatically delete local projects, models, or exports stored on your device.
  • We may suspend or terminate your account for violations of these Terms, fraud, security risks, or abuse of connected services.
  • If we discontinue cloud features used by Open Clipper, we may provide advance notice where reasonably possible. Local app functionality may continue where technically feasible.

10. Limitation of Liability

The Service is provided “as is” without warranties. To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages (including data loss, lost profits, failed publishes, or corrupted projects). Our total liability for cloud services shall not exceed the amount you paid us in the 12 months prior. Nothing here excludes liability for fraud, willful misconduct, or anything that cannot be excluded by law. EU consumer rights are not affected.

11. Indemnification

You agree to indemnify us against claims arising from your content, your use of the Service, your publishing activity, or your violation of these Terms or any third party's rights.

12. Complaints

You may submit complaints regarding the Service to [email protected]. Please include a description of the issue, your account email, and any relevant details. We aim to respond within 14 days.

Nothing in these Terms limits any statutory remedies you may have for a lack of conformity of digital services or other non-waivable consumer rights.

13. Governing Law

These Terms are governed by Polish law. If you are a consumer, you also retain any mandatory protections granted by the law of your country of residence. Courts with mandatory jurisdiction under applicable consumer law are not excluded.

14. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide reasonable notice before they take effect. Continued use after the effective date means acceptance of the updated Terms.

15. General

If any provision is found invalid, the rest remain in effect. These Terms and our Privacy Policy are the entire agreement for Open Clipper's GrepCut cloud services. Failure to enforce a provision is not a waiver. You may not assign your rights without our consent. We are not liable for failures due to circumstances beyond our control (force majeure).
