Terms of Service

1. Acceptance of Terms

By using GrepCut (“Service”), you agree to these Terms. If you do not agree, do not use the Service. The editor may be available to guests without an account, but some features require sign-in and paid access.

You must be old enough to use online services under applicable law. If you are under 18, you may only purchase paid features with the involvement of a parent or legal guardian.

2. The Service

GrepCut is a browser-based video editing platform with AI-powered features. Some features depend on third-party providers and may change, be limited, or become unavailable over time.

To use the Service, you need a compatible device, internet access, and a modern browser with JavaScript enabled. Some features also require cookies or local storage to function correctly.

3. Your Account

You sign in via Google OAuth. You are responsible for all activity under your account and must notify us immediately of unauthorized access. We may disable accounts that violate these Terms.

4. Payments and AI Usage

• Certain features require AI Usage, purchased via Paddle (our Merchant of Record). Paddle collects payment on our behalf and is responsible for managing your purchase and applicable taxes.
• AI Usage and subscriptions are non-transferable between accounts. Except where required by applicable law or where we expressly state otherwise, purchases are final and we do not offer voluntary refunds for unused time, unused AI Usage, or dissatisfaction with AI outputs.
• We may change AI usage pricing with 30 days' notice. Existing balances are not affected.
• Right of withdrawal: If you are an EU consumer, you may have a 14-day withdrawal right for digital services unless you expressly request immediate performance and acknowledge the loss of that right at checkout. Where checkout does not validly collect that confirmation, your statutory rights remain unaffected.

5. User Content and Ownership

• You retain all rights to your content. We do not claim ownership and do not use it for marketing or AI training.
• You grant us a temporary license to access your Google Drive solely to operate the Service.
• You warrant that you have the rights to all content you upload.
• GrepCut retains all rights to the platform itself.

6. Acceptable Use

You must not use the Service to create or distribute illegal content (including CSAM, terrorism, harassment), create deepfakes without consent, infringe intellectual property, distribute malware, reverse-engineer the Service, or abuse the AI usage system. Violations may result in suspension, termination, or reporting to law enforcement. Report abuse to abuse@grepcut.com.

7. AI Features

AI features are provided “as is”. Outputs may contain errors, omissions, or bias, and may not be suitable for every use case. You are responsible for reviewing all AI-generated content before relying on it.

AI Usage is deducted when a request is submitted for processing, not when you decide whether the output meets your preferences. AI features may be affected by third-party model limits, outages, or latency. See our Privacy Policy for data processing details.

8. Termination

• You may close your account at any time by contacting privacy@grepcut.com. Your data will be deleted within 30 days (except legally required records). Google Drive content remains yours.
• We may suspend or terminate your account for violations of these Terms, fraud, security risks, or abuse of the Service. Where legally permitted, unused AI Usage may be forfeited upon termination for cause.
• If we discontinue the Service, we may provide advance notice where reasonably possible. Any mandatory consumer remedies under applicable law remain unaffected.

9. Limitation of Liability

The Service is provided “as is” without warranties. To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages (including data loss, lost profits, or project corruption). Our total liability shall not exceed the amount you paid us in the 12 months prior. Nothing here excludes liability for fraud, willful misconduct, or anything that cannot be excluded by law. EU consumer rights are not affected.

10. Indemnification

You agree to indemnify us against claims arising from your content, your use of the Service, or your violation of these Terms or any third party's rights.

11. Complaints

You may submit complaints regarding the Service to privacy@grepcut.com. Please include a description of the issue, your account email, and any relevant transaction or project details. We aim to respond within 14 days.

Nothing in these Terms limits any statutory remedies you may have for a lack of conformity of digital services or other non-waivable consumer rights.

12. Governing Law

These Terms are governed by Polish law. If you are a consumer, you also retain any mandatory protections granted by the law of your country of residence. Courts with mandatory jurisdiction under applicable consumer law are not excluded.

13. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide reasonable notice before they take effect. Continued use after the effective date means acceptance of the updated Terms.

14. General

If any provision is found invalid, the rest remain in effect. These Terms and our Privacy Policy are the entire agreement. Failure to enforce a provision is not a waiver. You may not assign your rights without our consent. We are not liable for failures due to circumstances beyond our control (force majeure).
